Affiliate Agreement

This Affiliate Agreement (the "Agreement") is made and entered into as of the date of enrollment by and between imfaststart.com ("we," "us," or "our"), and the individual or entity applying to become an affiliate ("you" or "Affiliate").
1. Enrollment in the Affiliate Program
To become an Affiliate, you must submit an application through our website, imfaststart.com. We reserve the right to approve or reject any application at our sole discretion.
2. Affiliate Relationship
By participating in our affiliate program, you agree that you are an independent contractor, and nothing in this Agreement shall be construed to create a partnership, joint venture, agency, franchise, sales representative, or employment relationship between us. You are solely responsible for all costs and expenses associated with your promotional activities.
3. Affiliate Links and Tracking
Upon acceptance into the program, you will be provided with unique affiliate links. You are responsible for properly implementing and displaying these links on your website, social media, or other approved channels. We will track sales generated through your affiliate links and determine the applicable commissions.
4. Commissions and Payment
Commission Rate: The commission rate for referred sales is typically 50% unless otherwise noted. This rate is subject to change at our discretion with 30 days written notice.
Qualifying Sales: A sale will qualify for a commission if the customer clicks on your unique affiliate link and completes a purchase of our digital products within 90 days of the initial click.
Payout Threshold: Commissions will be paid out when your accumulated earnings reach a minimum threshold of $50
Payment Method: Payments will be made via PayPal or other methods as we may specify. You are responsible for providing accurate payment information.
Payment Schedule: Commission payouts will be processed on a monthly basis, within 30 days of the end of the month.
5. Marketing Guidelines and Restrictions
Permitted Promotion Methods: You may promote our digital products through your website, email marketing to your opt-in list, social media.
Prohibited Promotion Methods: You are strictly prohibited from engaging in the following activities:
Spamming or sending unsolicited emails.
Using misleading or deceptive advertising.
Bidding on our branded keywords (e.g., "imfaststart.com," "Fred Acker") in pay-per-click (PPC) advertising.
Using discount codes or promotions not explicitly provided to you for affiliate use.
Making false or misleading claims about our products.
Promoting our products on websites or through channels that contain offensive, illegal, or harmful content.
Compliance with Laws: You are responsible for ensuring that your promotional activities comply with all applicable laws and regulations, including advertising and disclosure requirements (FTC guidelines regarding affiliate disclosures).
6. Intellectual Property
We grant you a non-exclusive, revocable, limited license to use our trademarks, logos, and marketing materials solely for the purpose of promoting our digital products as authorized in this Agreement. You agree not to alter or modify these materials without our prior written consent. This license will terminate immediately upon termination of this Agreement.
7. Confidentiality
You agree to keep confidential any non-public information you receive from us related to our affiliate program, products, or business operations.
8. Term and Termination
Term: This Agreement will commence upon our acceptance of your affiliate application and will continue until terminated as provided herein.
Termination by You: You may terminate this Agreement at any time by providing us with written notice via email to support@imfaststart.com
Termination by Us: We may terminate this Agreement at any time, with or without cause, by providing you with written notice via email.
Effect of Termination: Upon termination, your right to promote our products and earn commissions will cease immediately. Any outstanding commissions earned prior to the termination date will be paid according to the terms of this Agreement, provided that your earnings meet the payout threshold. We reserve the right to withhold final payment if we determine that you have violated the terms of this Agreement.
9. Limitation of Liability
We will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to this Agreement or your participation in the affiliate program, even if we have been advised of the possibility of such damages. Our total liability to you under this Agreement shall not exceed the total commissions paid to you during the twelve
(12) months preceding the event giving rise to the liability.
10. Indemnification
You agree to indemnify and hold harmless imfaststart.com, and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your breach of this Agreement or your promotional activities.
11. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Tennessee.
12. Entire Agreement
This Agreement constitutes the entire agreement between you and imfaststart.com, concerning the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether oral or written.
